Description	SOUTHERN SCORE BUILDERS BERHAD ("SSBB" OR THE "COMPANY") PROPOSED ACQUISITION BY SSBB OF 1,275,000 ORDINARY SHARES IN SJEE ENGINEERING SDN BHD ("SJEE"), REPRESENTING 51% EQUITY INTEREST IN SJEE FROM NGO HEA BING ("NHB") FOR A TOTAL CASH CONSIDERATION OF RM22,950,000 ("PROPOSED ACQUISITION")
We refer to the announcements dated 13 May 2024, 12 August 2024, 13 August 2024, 14 August 2024 and 30 August 2024 in relation to the Proposed Acquisition (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein. With reference to the SJEE SSA, the period for the parties to fulfil the Conditions Precedent is six (6) months commencing from 13 May 2024 (being the date of the SSA) up and until 12 November 2024, or such further extension as the parties to the SJEE SSA may mutually agree in writing (“Conditional Period”). On behalf of the Company, Kenanga IB wishes to announce that the Company and NHB had on 12 November 2024 mutually agreed to extend the Conditional Period for a further period of 2 months, commencing from 13 November 2024 up and until 12 January 2025 to enable the parties to fulfil the Conditions Precedent. Save for the above, all other terms and conditions of the SJEE SSA remain unchanged. This announcement is dated 12 November 2024.
